Buying Commercial Property: What You Need To Know

Each commercial property is unique with its own leases, rights and restrictions. For this reason, once you’ve found the premises that you would like to buy, you need to instruct an experienced commercial property solicitor to manage the purchase process.

Here are some of the key stages of buying a commercial property that your solicitor will guide you through:

  1. Surveys and reports – Surveys and reports are essential to identify issues that could affect the price, suitability or safety of your chosen premises. This may include a building survey or structural report, an environmental report, covering things like contamination and flood risk, an Energy Performance Certificate and, if applicable, an asbestos survey.
  2. Legal due diligence – This is a comprehensive appraisal of the purchase property, which identifies any risks to the buyer. As part of this process, title deeds and Land Registry documents will be checked, along with covenants, easements, rights of way and restrictive agreements. Planning permissions and building regulation compliance will also be checked, as well as tenancy agreements and leases.
  3. Financing/mortgage offer – Your solicitor will handle the financial demands and deadlines, liaising with lenders with regard to finance, loan conditions, deposit release, completion funds and apportionments of rent or service charges.
  4. Contract negotiations – Your commercial property solicitor will review the sale contract ensuring that price and completion date are correct, deposit arrangements are secure, warranties, indemnities and obligations are fair and, for investment properties, tenancy schedules are accurate. If amendments are required, your solicitor will negotiate these on your behalf.
  5. Exchange of contracts – Contracts are legally binding once exchanged. On exchange you would typically pay a deposit and agree a completion date, which may be the same date as exchange or may be several weeks later.
  6. Completion – When the funds are transferred to pay the balance, the purchase completes and the title transfers to the buyer. Keys are handed over and your solicitor will register the property at the Land Registry and ensure your Stamp Duty Land Tax is paid. 

The whole commercial property buying process typically takes three to six months depending on the complexity of the transaction.
